Founded in 2002, Vitalize Consulting Solutions, Inc. (VCS) is a rapidly growing, market leading provider of clinical, business and information technology services for healthcare organizations.   The Company specializes in the implementation and optimization of electronic health record (EHR) systems from major commercial-off-the-shelf vendors, and ambulatory and practice management solutions.  The Company is renowned for highly specialized and experienced consultants averaging 15-plus years with over 70% also possessing clinical backgrounds.  Its dedicated consultants focus on a wide range of practice areas, including Allscripts/Eclipsys, Epic, Cerner, McKesson, MEDITECH and Strategic Services.  VCS has earned a top-notch reputation and successful track record in deploying complex clinical, business and IT systems for hundreds of hospitals throughout North America.

Objectives

VCS’s executive management team, private equity investors and Board engaged TripleTree as its exclusive financial advisor to explore a range of strategic possibilities due to TripleTree’s strong healthcare M&A expertise.  Positioning VCS as a rare opportunity, in a high growth HCIT market with few alternative M&A options, TripleTree’s customized approach for engaging acquirers, while limiting management distractions, was a key priority and differentiator.   TripleTree helped determine that the best possible outcome for VCS, culturally and financially, would come from a targeted process where specific buyer synergies were directly illustrated with each.

Results

TripleTree successfully led VCS through a customized process to quickly assess market interest in the Company, while avoiding management and market distractions.  Based on TripleTree’s previous briefings with Science Applications International Corporation (SAIC), TripleTree helped determine that there was a shared vision, commitment to excellence, and desire to fully exploit synergistic growth opportunities between the two organizations.  The acquisition of VCS enables SAIC to expand into the commercial health provider market and leverage its information integration and data analytics expertise with VCS's healthcare IT and clinical workflow optimization capabilities to further grow as commercial and Federal health markets converge.   With over 600 VCS employees and a proven track record of installing leading healthcare IT systems in a commercial capacity, VCS, combined with the capabilities and resources of SAIC, will continue its drive towards becoming the market-leading provider of HCIT consulting services.
