Wellness Inc. Acquired By OptumHealth

Company Description

Wellness Inc., based in Aurora, Illinois, was organized in 1986 to meet the health promotion needs of major corporations in the United States. The Company, known for its quality and consistency of service, specializes in health screenings through the use of specialized laboratory testing and educational materials designed to detect health risks in their earliest stages.

Wellness Inc. partners with companies across the U.S. to raise the awareness and empower their employees with information for improved and proactive health management.  The Company's primary markets include employer groups of 500 – 100,000 employees, local governments, and school districts. Most groups have multiple locations in various cities across the nation. The majority of the Company’s business consists of providing on-site health screening services including blood testing, health risk assessments, health education, health coaching services, and other biometric measurements. The Company is also a major nationwide provider of flu and pneumonia vaccine services.

Objectives

Wellness Inc.’s founder and CEO retained TripleTree as its advisor based on TripleTree’s extensive knowledge of the population health management marketplace.  As the sole owner of the Company, the CEO sought a strategic partner with expanded access to employers that could accelerate Wellness Inc.’s nationwide growth.  Of great interest to the Company was the expansion of population health management solutions that could be integrated with Wellness Inc.’s screening services.  The CEO also wanted to ensure that the employees who had helped to build the company would be provided opportunities to advance their careers beyond the possibilities that could be achieved as a standalone organization.

Results

TripleTree served as a long-term advisor to Wellness Inc.  The focus of TripleTree’s engagement was to identify and engage the right strategic acquirer at the right time.  OptumHealth, a subsidiary of UnitedHealth Group, viewed Wellness Inc. as highly complementary, providing its Care Solutions line of business with front-end biometric screening capabilities that it had previously lacked.  Given this interest, TripleTree and Wellness Inc. engaged in detailed discussions with OptumHealth to pursue an acquisition which has been successfully consummated.  With the addition of Wellness Inc., OptumHealth is able to provide a fully integrated suite of population health management services.
